1. Acceptance and business use

These Terms of Service ("Terms") govern your use of optywise.com (the "Website"). Optywise USA LLC, a Wyoming limited liability company, operates the Website. By using the Website you agree to these Terms. If you do not agree, do not use the Website.

The Website is intended for business users. You may use it only if you are at least 18 years old and are using it for a business purpose on behalf of yourself or an organization that you are authorized to represent.

Services are provided only under a written agreement (MSA, SOW or equivalent) signed by the applicable Optywise contracting entity. These Terms govern use of this website only. Nothing on the Website is an offer to provide services, and a consultation request or booking does not create a services contract.

2. Permitted use

You may browse the Website, read its content, and use its contact, booking and demo features for their intended purpose. You may not:

• use the Website unlawfully or in a way that infringes the rights of others;
• attempt to gain unauthorized access to the Website, its servers or its connected services, or to interfere with their operation;
• scrape, copy at scale, or reverse engineer the Website or its demos, or use automated means to submit forms or demo requests;
• submit malware, or content that is unlawful, harassing or misleading.

3. Intellectual property and trademarks

The Website and its content, including text, graphics, logos and software, belong to Optywise or its licensors and are protected by intellectual property laws. Optywise, PRISM and related names and logos are trademarks or brand names of Optywise. You may not use them without our prior written permission, except to refer accurately to us.

Rights in work product delivered to a customer are set out in the applicable MSA and SOW, not in these Terms.

4. Feedback

If you send us suggestions, ideas or other feedback about the Website or our services, you grant Optywise a non-exclusive, worldwide, royalty-free, perpetual license to use that feedback without obligation to you. Do not send us information you consider confidential through the Website; if you need confidentiality, ask us first for a mutual NDA at consulting@optywise.com.

5. Third-party links, tools and demos

The Website links to and embeds services operated by others. We do not control them and are not responsible for their content or practices. Their own terms and privacy policies apply. The services we embed or load include:

• GoHighLevel / LeadConnector, which provides the booking widget on the consultation page.
• Chatwoot, the chat demo, hosted at woot.automa8.it.
• Twilio voice SDK (loaded from cdn.jsdelivr.net) and a server at api.chat.automa8.it, which power the voice demo. The voice demo asks for microphone access when you start a call.
• Google (Google Tag Manager, Google Analytics and Google Fonts), PostHog, Meta Platforms and OpenAI, which provide analytics and advertising measurement as described in our Cookie Policy.

Demo interactions may be processed by the third-party services named on this page.

6. AI demo disclaimer

Demos on the Website, including the voice and chat demos, use artificial intelligence and are illustrative only. Their outputs may be inaccurate, incomplete or out of date, and are not a statement of what a production system built by Optywise would do. Do not submit confidential information, personal information or protected health information to any demo. Demo interactions may be processed by the third-party services named in section 5.

7. No professional advice; no certification guarantee

Content on the Website is general information. It is not professional, legal, security or compliance advice, and you should not rely on it as such. References to frameworks and regulations, such as SOC 2, HIPAA, GDPR, ISO 27001 or the DPDP Act, describe how we align our practices or build toward them. They are not a guarantee that any system, deployment or organization is certified or compliant.

8. Warranty disclaimer

The Website and its content are provided "as is" and "as available". To the maximum extent permitted by law, Optywise disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, Optywise and its members, partners, personnel and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to your use of the Website. To the maximum extent permitted by law, our total liability for any claim relating to the Website is limited. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You agree to indemnify and hold harmless Optywise and its affiliates from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Website or your breach of these Terms, to the extent permitted by law.

11. Privacy and cookies

Our Privacy Policy explains how we handle personal information, our Cookie Policy lists the cookies and similar technologies we use, and Advertising and Marketing Choices explains your advertising options. They are not part of a services agreement and do not replace one.

12. Changes

We may update these Terms. The "Last updated" date at the top shows the latest version. Your continued use of the Website after a change means you accept the updated Terms.

13. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and the courts located in Wyoming have exclusive jurisdiction over disputes arising from them.
